This website is operated by Rosewood Closet. Throughout the website, the terms "Rosewood Closet," "we," "us" and "our" refer to Rosewood Closet. Rosewood Closet offers this website, including its information, content, features, tools, products and services (collectively, the "Services"), subject to these Terms of Service & Confidentiality (the "Terms"). Our store is hosted by Shopify, which provides the ecommerce platform used to offer the Services.

By visiting the website, placing an order or otherwise using the Services, you agree to these Terms and to the policies referenced in them, including our Privacy Policy, Shipping & Delivery Policy, and Returns & Cancellations Policy. If you do not agree, do not use the Services.

1. Eligibility and acceptable use

You must be at least the age of majority in your province, state or country of residence, or use the Services with the involvement and consent of a parent or legal guardian.

You may not use the Services or products for an unlawful or unauthorized purpose, violate applicable law, infringe intellectual-property or privacy rights, interfere with the website's security or operation, transmit malicious code, scrape the website through unauthorized automated means, or submit false or misleading information.

We may suspend or refuse access to the Services where reasonably necessary to prevent fraud, misuse, security threats or violations of these Terms.

2. Product information and availability

We make reasonable efforts to describe products and display product images and colours accurately. Screen settings, lighting, production methods and natural manufacturing variations may cause the delivered product to appear slightly different from an on-screen image. Minor placement or colour variations that are normal for made-to-order printing are not necessarily defects.

Products may be made to order and are subject to material, colour, size and production availability. We may limit quantities, discontinue products or update descriptions without notice. We reserve the right to correct errors in product information, availability or pricing.

3. Prices, currency and taxes

Prices and promotions may change without notice. The currency selected or displayed on the website is shown before checkout. Your bank or payment provider may apply its own exchange rate or fees when your payment method uses a different currency.

Applicable shipping charges, taxes and other charges are displayed during checkout where required. International customers may be responsible for customs duties, import taxes, brokerage charges or other fees imposed by the destination country.

If a material pricing or product-information error affects an order, we may contact you to confirm the corrected details or cancel and refund the affected order as permitted by law.

4. Payments and payment confidentiality

Available payment methods are displayed at checkout and may change over time. Payments are processed through Shopify and authorized third-party payment providers. Their processing is governed by their own terms and privacy policies.

Rosewood Closet does not directly store or have access to your complete payment-card number or security code. Payment providers may supply us with limited transaction information, such as your name, billing details, payment status, card brand and partial card digits, so we can process and support your order.

We use reasonable safeguards and reputable service providers, but no online transaction or data transmission can be guaranteed to be completely secure. You are responsible for using a secure device and connection and for protecting your account credentials.

We do not offer cash on delivery unless that option is expressly displayed at checkout.

5. Orders

Submitting an order is an offer to purchase. An automated order confirmation acknowledges receipt but does not guarantee acceptance. We may accept, decline, limit or cancel an order for legitimate reasons, including suspected fraud, unauthorized resale, product unavailability, pricing errors, payment issues or shipping restrictions.

You agree to provide accurate, current and complete billing, shipping and contact information. Please review your order and address carefully before submitting payment. You are responsible for delivery problems caused by inaccurate or incomplete information you provide.

If we cancel an order after payment has been captured, we will issue an appropriate refund to the original payment method.

6. Made-to-order production, changes and cancellations

Rosewood Closet products are made especially for each customer. Production may begin shortly after an order is placed. Contact us immediately if you notice an error, but we cannot guarantee that an order can be changed or cancelled after it enters production or fulfillment.

Because products are made to order, we do not accept returns, exchanges or cancellations for change of mind, an incorrect size selected by the customer or a preference for a different colour, except where required by law. Please review product details and the Size Guide before ordering.

If an item arrives damaged, defective or materially different from what you ordered, contact us through our Contact page and include your order number and clear photos. Eligibility and available remedies are governed by our Returns & Cancellations Policy and applicable consumer law.

Nothing in these Terms limits a mandatory consumer right that cannot legally be excluded.

7. Shipping and delivery

Production times and delivery times are separate. Any delivery date or time shown is an estimate rather than a guarantee. Carrier delays, weather, holidays, customs processing, address issues and other events outside our reasonable control can affect delivery.

An order containing multiple items may be produced or shipped separately. International orders may be subject to customs and import charges for which the customer is responsible. Please review our Shipping & Delivery Policy for current details.

8. Promotions and discount codes

Promotions and discount codes are subject to their stated conditions, availability and expiration dates. Unless expressly stated otherwise, discounts cannot be combined, are not redeemable for cash and cannot be applied retroactively to completed orders.

We may correct, suspend or cancel a promotion affected by error, misuse, fraud or technical malfunction, subject to applicable law.

9. Accounts and communications

If you create an account, you are responsible for keeping your login details confidential and for activity under your account. Notify us promptly if you believe your account has been accessed without authorization.

You agree that we may send transactional messages concerning purchases, shipping, support, security or policy updates. Promotional communications are sent in accordance with applicable law and your preferences. You can unsubscribe from marketing emails using the link included in those emails.

10. Customer information and confidentiality

We collect and use customer information as described in our Privacy Policy. Information required to complete a transaction may be shared with Shopify, payment processors, production partners, fulfillment providers, shipping carriers, customer-support providers and other service providers that need it to perform services for Rosewood Closet.

We do not promise that customer information is "never shared," because necessary disclosures are required to process payments, produce merchandise, deliver orders, prevent fraud and comply with law. We limit disclosures to legitimate operational, legal or consented purposes and expect service providers to protect information under their applicable obligations.

Do not send confidential business information, complete card details, passwords or other highly sensitive material through ordinary email, product reviews, social-media messages or website forms.

11. Intellectual property

Unless otherwise indicated, the website and its content—including Rosewood Closet branding, product designs, graphics, text, photographs, layout and other materials—are owned by or licensed to Rosewood Closet and are protected by applicable intellectual-property laws.

You may use the website for personal, non-commercial shopping purposes. You may not reproduce, distribute, sell, license, modify, publish, commercially exploit or create derivative works from protected content without prior written permission, except where permitted by law.

Third-party names, marks and content remain the property of their respective owners.

12. Reviews, feedback and submissions

If you submit a review, photo, comment, suggestion or other content, you represent that you have the right to provide it and that it is accurate, lawful and does not violate another person's rights.

You grant Rosewood Closet a non-exclusive, worldwide, royalty-free license to host, reproduce, display, adapt and use the submission for operating, improving and promoting the Services, subject to applicable law and our Privacy Policy. This license does not transfer ownership of your content to us.

We may moderate or remove submissions that are unlawful, misleading, abusive, infringing, contain personal or confidential information, or otherwise violate these Terms. We are not required to publish or respond to every submission.

13. Third-party services and links

The Services may contain links to or integrations with third-party websites, apps, payment providers or tools. We do not control third-party services and are not responsible for their content, availability, security or practices. Your use of them is subject to their terms and policies.

14. Errors and service changes

The website may occasionally contain typographical errors, inaccuracies or omissions concerning product descriptions, prices, promotions, shipping charges, delivery estimates or availability. We may correct or update information and, where permitted, cancel an affected order.

We may modify, suspend or discontinue all or part of the Services. We do not guarantee that the website will always be uninterrupted, secure or error-free.

15. Disclaimer of warranties

To the fullest extent permitted by law, the Services are provided on an "as is" and "as available" basis. We disclaim warranties that may legally be disclaimed, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

Where liability cannot be excluded, our liability will be limited to the maximum extent permitted by applicable law. Nothing in these Terms limits liability where doing so would be unlawful, including liability arising from fraud, willful misconduct or mandatory consumer rights.

To the extent permitted by law, you agree to indemnify and hold harmless Rosewood Closet and its owners, affiliates, agents, contractors and service providers from third-party claims, losses or reasonable costs resulting from your unlawful use of the Services, your breach of these Terms or your violation of another person's rights.

18. Governing law

These Terms and your use of the Services are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law principles. This section does not deprive you of mandatory consumer protections available under the law of your place of residence.

19. Severability and waiver

If any provision of these Terms is found unlawful or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver of the right to enforce it later.

20. Entire agreement

These Terms and the store policies incorporated by reference form the entire agreement between you and Rosewood Closet concerning the Services and replace prior discussions or versions on the same subject.
